02

Scope and B2B orientation

These Terms apply to contracts for use of NiCo Meeting. The service is intended exclusively for entrepreneurs, legal entities and organisations acting for commercial or professional purposes. Contracts with consumers are not intended. Customer terms apply only if NiCo expressly accepts them.

03

Service

NiCo Meeting is a browser-based communication and meeting platform. Depending on the plan, functions may include company and personal rooms, temporary meetings, audio/video, screen sharing, chat, file transfer, waiting rooms, participant management and support/document-camera functions. The agreed plan and service description determine the specific scope.

04

Technical requirements

The customer requires a compatible internet-enabled device, adequate internet connection and an up-to-date supported browser, plus microphone, camera or screen-sharing permissions where needed. NiCo is not responsible for the functionality of customer devices, operating systems, browsers, networks or internet access.

05

Registration and contract formation

The customer must provide complete and accurate company and contact details. By submitting registration and accepting these Terms, the customer makes a binding offer; the contract is concluded when NiCo activates the account. The customer confirms that it is authorised to conclude the contract for the stated company.

06

14-day trial

Where stated in the offer, newly registered business accounts receive a free 14-day trial from activation. If the customer does not cancel before the trial ends and the registration process clearly disclosed the subsequent charge, the account continues on the paid Updatedard plan.

The Updatedard conditions currently shown in the portal are EUR 5.00 per month for up to three users plus EUR 0.50 per month for each additional active user, plus any legally applicable VAT. Agreed special terms, coupons or free access take precedence for their agreed period.

07

Prices, invoices and payment

The prices stated at contract conclusion or in an individual agreement apply. Invoices may be provided electronically in the account and/or by email. VAT treatment follows applicable law; cross-border B2B services may be subject to reverse charge where the statutory requirements are met. PayPal may be offered as a payment method and its own terms additionally apply.

08

Coupons and free access

NiCo may offer coupons, discount codes, free plans or individual special conditions. Scope, validity and redemption rules follow the respective offer. Cash redemption is excluded unless mandatory law provides otherwise.

09

Credentials and customer duties

Credentials must be protected against unauthorised access and made available only to authorised users. Suspected unauthorised access must be reported promptly. NiCo Meeting may only be used lawfully. Malware, attacks, bypassing safeguards, unauthorised account access, unlawful content, unlawful surveillance or recordings, infringement of copyright/personality rights and use for criminal acts are prohibited.

10

Participants, recordings and confidential content

The customer is responsible for informing invited participants about its own organisational or legal requirements. Recording participants is permitted only where a valid legal basis exists and all required information or consents have been provided. userss sharing a screen must prevent unintended disclosure of confidential or personal information.

11

Privacy and processing on behalf

NiCo processes personal data in accordance with applicable data protection law and the current Privacy Policy. Where NiCo acts as processor for the customer, the parties will enter into an Article 28 GDPR data processing agreement where required. The customer remains responsible for the lawfulness of processing it initiates and its own transparency duties.

12

Rights of use and customer content

The customer retains rights in its content and grants NiCo the non-exclusive rights technically necessary to store, transmit and make that content available to authorised participants for the duration and scope of the contract. Rights in NiCo software, interface, marks, logos and designs remain with NiCo or the respective rights holders. Reverse engineering and reproduction or distribution beyond mandatory statutory permissions are prohibited.

13

Availability, maintenance and force majeure

NiCo aims for high availability. 100% availability is owed only where expressly agreed in a separate service-level agreement. Temporary limitations may result from maintenance, security updates, technical faults, telecom/data-centre outages or events outside NiCo’s reasonable control. Planned maintenance will be arranged to minimise disruption where possible.

14

Suspension for misuse

NiCo may temporarily suspend functions or accounts where there are concrete indications of serious legal violations, security risks, misuse, infrastructure attacks or significant payment default. The nature and severity of the issue and the customer’s interests will be considered appropriately.

15

Liability

NiCo is liable without limitation for intent and gross negligence, injury to life, body or health, mandatory statutory liability and expressly assumed guarantees. For ordinary negligence, NiCo is liable only for breach of an essential contractual duty and only for typical, foreseeable damage. Otherwise liability for ordinary negligence is excluded to the extent permitted by law. These limitations also apply for NiCo’s legal representatives, employees and agents.

16

Data backup

Where export or customer-side backup of important data is technically possible and reasonable, the customer is responsible for an appropriate backup. NiCo’s statutory data-security duties and liability for data loss attributable to NiCo remain unaffected.

17

Term and cancellation

After the trial, the Updatedard plan continues monthly unless another term was individually agreed. It may generally be cancelled in text form at the end of the current monthly billing period, including by email to nico@zsb-hg.de. Both parties retain the right to terminate for cause.

After termination, access may be disabled. Where export functions are available, the customer must secure required data in time. Statutory retention obligations remain unaffected.

18

Changes to service and Terms

NiCo may adapt the platform for objective reasons such as technical development, security or changes in law, provided the contractual purpose is not unreasonably impaired. Changes to these Terms for ongoing contracts will be notified appropriately; express consent will be obtained where legally required. Mandatory customer rights remain unaffected.

19

Confidentiality

The parties will appropriately protect business information marked confidential or confidential by its nature. Mandatory disclosure and information duties remain unaffected.

20

Applicable law and jurisdiction

To the extent legally permitted, contracts with business customers are governed by the law of the Federal Republic of Germany excluding the UN Convention on Contracts for the International Sale of Goods.

Where the customer is a merchant, public-law legal entity, special public-law fund, or a valid business jurisdiction agreement exists, Tallinn, Estonia is the place of jurisdiction to the extent permitted by law. NiCo may also bring claims at the customer’s general place of jurisdiction.

21

Final provisions

If any provision of these Terms is or becomes wholly or partly invalid, the remaining provisions remain unaffected. Statutory provisions apply in place of an invalid clause. Individual agreements and supplementary arrangements take precedence.
